margin-top: 20px; margin-bottom: 20px;\">（3）通過設(shè)立子企業(yè)形式將主要生產(chǎn)基地、區(qū)域總部、研發(fā)中心、銷售中心、運營中心等落戶江蘇省內(nèi)的企業(yè)（確有實質(zhì)性經(jīng)營活動）；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（4）被江蘇省內(nèi)注冊登記企業(yè)收購的企業(yè)（控股型收購，且納入合并報表范圍）；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">4、本產(chǎn)業(yè)子基金管理機構(gòu)在管其他基金（關(guān)聯(lián)基金）投資江蘇省內(nèi)企業(yè)的，按照實際投資金額的80%納入投資認(rèn)定范圍。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">關(guān)聯(lián)基金納入認(rèn)定范圍的金額，不得超過本產(chǎn)業(yè)子基金納入認(rèn)定范圍的金額；且本產(chǎn)業(yè)子基金直接投資江蘇省內(nèi)企業(yè)金額不得低于省內(nèi)各級政府出資總額。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">5、本產(chǎn)業(yè)子基金的關(guān)聯(lián)基金可納入計算的投資行為應(yīng)同時滿足以下要求：\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（1）投資方式為股權(quán)投資；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（2）投資行為發(fā)生在本產(chǎn)業(yè)子基金投資期內(nèi)；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（3）投資方向為戰(zhàn)略性新興產(chǎn)業(yè)或未來產(chǎn)業(yè)方向，且應(yīng)符合省級母基金投資領(lǐng)域目錄；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（4）如基金管理人在戰(zhàn)新基金集群內(nèi)管理了多支基金，對每一個符合要求的投資行為只能計算一次，不得重復(fù)計算。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">6、計算加分項：本產(chǎn)業(yè)子基金直接投資省內(nèi)企業(yè)，且在基金存續(xù)期內(nèi)企業(yè)成長為國家級專精特新小巨人企業(yè)的，返投認(rèn)定金額按本基金投資金額的150%計算；本產(chǎn)業(yè)子基金投資的企業(yè)在基金存續(xù)期內(nèi)在境內(nèi)外股票交易所上市的，返投認(rèn)定金額按本基金投資金額的200%計算。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">【修訂】7、積極吸引國家級基金、全國社會保障基金、中央企業(yè)、國有大型商業(yè)銀行金融資產(chǎn)投資公司、海外主權(quán)基金、國際知名投資機構(gòu)、產(chǎn)業(yè)龍頭企業(yè)參與基金出資或管理，出資比例較高或作為第一大出資人的，返投金額認(rèn)定在上述框架內(nèi)結(jié)合相關(guān)管理規(guī)定，可將與本基金管理機構(gòu)屬于同一實際控制人的管理機構(gòu)（關(guān)聯(lián)機構(gòu)）在管基金投資江蘇省內(nèi)企業(yè)的納入認(rèn)定范圍（中央企業(yè)、產(chǎn)業(yè)龍頭企業(yè)直接投資江蘇省內(nèi)企業(yè)的，也可納入認(rèn)定范圍），折算比例和相關(guān)要求參照本條第4和5款對關(guān)聯(lián)基金要求執(zhí)行。具體認(rèn)定計算方式在基金組建方案和合伙協(xié)議中約定明確。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">8、產(chǎn)業(yè)子基金投資于南京市內(nèi)項目金額不低于產(chǎn)業(yè)專項母基金實際出資額的1.2倍。以下情形可認(rèn)定為投資南京市內(nèi)項目：\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（1）在南京市內(nèi)注冊的企業(yè)；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（2）將注冊地搬遷至南京市內(nèi)的市外企業(yè)；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（3）南京市外企業(yè)在南京市投資設(shè)立子企業(yè)或研發(fā)生產(chǎn)基地等（有實質(zhì)性經(jīng)營活動的）；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（4）被南京市內(nèi)注冊的企業(yè)并購、控股的市外企業(yè)；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（5）子基金設(shè)立后，子基金管理人同期在管的其他基金或與該子基金管理人屬于同一實際控制人管理的其他基金投資南京市內(nèi)注冊的企業(yè)或?qū)⒆缘匕徇w至南京市內(nèi)的市外企業(yè)（該返投情形僅可計算一次，不得在多支基金中重復(fù)計算）；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">其中，上述第（2）項及第（5）項中涉及將注冊地搬遷至南京市內(nèi)的情形，可按其對引進企業(yè)投資金額的1.2倍計算；上述第（3）項返投金額按南京市內(nèi)項目投資總額或?qū)嵗U注冊資本孰高計算；其余情形按投資金額計算。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">9、投資于江蘇省內(nèi)企業(yè)和南京市內(nèi)企業(yè)的金額認(rèn)定應(yīng)按照上述要求分別計算。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">10、原則上不投資境外項目。確需投資境外項目的，產(chǎn)業(yè)子基金管理機構(gòu)應(yīng)當(dāng)嚴(yán)格審核，充分論證資金出境的必要性、合規(guī)性和資金安全保障措施等。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（四）管理費\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">1、投資期：不超過基金實繳規(guī)模的1.5%/年；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">2、退出期：不超過項目未退出原始投資成本的1.5%/年；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">3、延長期、清算期：不收取管理費；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">4、建立管理費追溯調(diào)整機制，投資期滿，基金未投資的資金應(yīng)退還并做減資處理，多收取的基金管理費應(yīng)當(dāng)及時退還或者留抵退出期的基金管理費。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（五）門檻收益與業(yè)績報酬\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">門檻收益率不低于年化5%，管理機構(gòu)業(yè)績報酬不超過超額收益的20%。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（六）負(fù)面清單\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">產(chǎn)業(yè)子基金不得從事以下業(yè)務(wù)：\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">1、從事?lián)！⒌盅?、委托貸款等業(yè)務(wù)；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">2、投資二級市場股票、期貨、房地產(chǎn)、證券投資基金、企業(yè)債、信托產(chǎn)品、理財產(chǎn)品、保險計劃及其他金融衍生品；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">3、向任何第三方提供贊助、捐贈；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">4、吸收或者變相吸收存款，或者向第三方提供貸款和資金拆借；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">5、進行承擔(dān)無限連帶責(zé)任的對外投資；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">6、發(fā)行信托或集合理財產(chǎn)品等方式違規(guī)募集資金；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">7、“名股實債”、“名基實儲”；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">8、投向國家禁止、限制投資或者不符合國家相關(guān)產(chǎn)業(yè)政策的項目；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">9、將基金投資作為招商引資優(yōu)惠條件；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">10、國家法律法規(guī)禁止從事的其他業(yè)務(wù)。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（七）管理運作要求\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">產(chǎn)業(yè)子基金管理運作應(yīng)根據(jù)省政府投資基金管理制度及省級母基金管理制度相關(guān)要求，并應(yīng)落實以下管理要求：\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">1、產(chǎn)業(yè)專項母基金管理機構(gòu)在江蘇高投戰(zhàn)新私募基金管理有限公司（以下簡稱省級母基金管理機構(gòu)）指導(dǎo)下編制投資領(lǐng)域目錄，產(chǎn)業(yè)子基金應(yīng)當(dāng)按照投資領(lǐng)域目錄開展投資；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">2、產(chǎn)業(yè)子基金應(yīng)于項目投資前履行前置合規(guī)審查程序，向產(chǎn)業(yè)專項母基金管理機構(gòu)報送合規(guī)審查材料。產(chǎn)業(yè)子基金所有投資項目需由省級母基金管理機構(gòu)審核是否符合投資領(lǐng)域目錄。前置合規(guī)審查重點關(guān)注政策目標(biāo)、投資領(lǐng)域、項目風(fēng)險等。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">審查材料具體包括：\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（1）擬投項目合規(guī)審查表；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（2）擬投項目盡職調(diào)查報告及投資建議書；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（3）投資決策委員會決策文件（如有）；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（4）其他重要業(yè)務(wù)材料。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">【修訂】3、產(chǎn)業(yè)專項母基金管理機構(gòu)在產(chǎn)業(yè)子基金投資決策委員會中委派一名委員，該名委員參與產(chǎn)業(yè)子基金投資決策，并對產(chǎn)業(yè)子基金資金安全進行監(jiān)督管理。產(chǎn)業(yè)子基金50萬元及以上的劃款指令原則上須經(jīng)設(shè)區(qū)市產(chǎn)業(yè)專項母基金管理機構(gòu)蓋章或授權(quán)該名委員簽字后方可執(zhí)行；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">4、產(chǎn)業(yè)子基金投資項目總投資金額達到50億元及以上的，應(yīng)當(dāng)報省級母基金管理機構(gòu)前置審查。產(chǎn)業(yè)子基金所有投資項目須由省級母基金管理機構(gòu)審核是否符合投資領(lǐng)域目錄。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">5、產(chǎn)業(yè)子基金應(yīng)當(dāng)選擇具有托管資質(zhì)的商業(yè)銀行作為托管機構(gòu)，托管機構(gòu)由公開遴選產(chǎn)生，經(jīng)產(chǎn)業(yè)子基金合伙人（股東）會議審議通過后生效，且產(chǎn)業(yè)子基金托管銀行賬戶（含募集戶、托管戶等）須直連至省級母基金投資管理系統(tǒng)和創(chuàng)投集團中央數(shù)據(jù)庫系統(tǒng)，及時同步基金相關(guān)業(yè)務(wù)發(fā)生的資金往來情況，保證數(shù)據(jù)及時同步；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">6、產(chǎn)業(yè)子基金管理機構(gòu)應(yīng)當(dāng)在省級母基金投資管理信息系統(tǒng)及南京市創(chuàng)新投資集團數(shù)字化系統(tǒng)中定期更新基金投資運作情況；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">7、產(chǎn)業(yè)專項母基金管理機構(gòu)每年度對產(chǎn)業(yè)子基金進行考核評價。產(chǎn)業(yè)子基金每年實際計提管理費金額為當(dāng)年應(yīng)計提金額的80%，剩余的20%中，每年應(yīng)計提金額的10%與當(dāng)年考核評價結(jié)果掛鉤，當(dāng)年考核評價等級為差的不予計提；另外10%在基金清算時一次性計提，基金清算時未完全收回本金的不予計提。具體考核評價實施辦法由產(chǎn)業(yè)專項母基金管理機構(gòu)另行制定；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">【新增】8、產(chǎn)業(yè)子基金管理費主要用于基金投資運營管理的相關(guān)費用支出，包括管理團隊的人員薪酬、日常辦公經(jīng)費、聘請第三方開展投資盡調(diào)等費用。不得在基金中列支應(yīng)當(dāng)由基金管理費支出的費用。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">【新增】9、產(chǎn)業(yè)子基金管理人應(yīng)當(dāng)嚴(yán)格落實投資決議要求，對項目開展投資。對擬投項目簽署投資協(xié)議前發(fā)生重大變化的，應(yīng)當(dāng)重新履行投資決策程序。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">【新增】10、產(chǎn)業(yè)子基金管理人應(yīng)當(dāng)對已投項目加強投后管理，通過定期和不定期走訪、財務(wù)和經(jīng)營信息跟蹤等，及時掌握項目經(jīng)營發(fā)展情況，控制投資風(fēng)險。對發(fā)現(xiàn)異常情況的，及時報告并采取措施防范化解相關(guān)風(fēng)險。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">【新增】11、產(chǎn)業(yè)子基金管理人應(yīng)當(dāng)建立健全涵蓋所從事業(yè)務(wù)及各個環(huán)節(jié)的廉潔從業(yè)內(nèi)部控制制度，制定具體、有效的事前防范體系、事中管控措施和事后追責(zé)機制。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">【新增】12、產(chǎn)業(yè)子基金管理人應(yīng)當(dāng)積極踐行中國特色金融文化，加強廉潔文化建設(shè)和工作人員全周期管理，每年組織開展廉潔從業(yè)培訓(xùn)和教育。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">13、產(chǎn)業(yè)專項母基金管理機構(gòu)對產(chǎn)業(yè)子基金開展年度監(jiān)督檢查和專項監(jiān)督檢查，省級母基金管理機構(gòu)可進行全面復(fù)查或抽查。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">\u003Cstrong>四 \u003Cspan style=\"text-indent: 2em;\">管理機構(gòu)和管理團隊申報要求\u003C/span>\u003C/strong>\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（一）管理機構(gòu)要求\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">遴選管理機構(gòu)相關(guān)標(biāo)準(zhǔn)不得低于以下條件：\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">3、在中國大陸注冊，實繳注冊資本應(yīng)不低于1000萬元人民幣且與所管理基金規(guī)模相匹配；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">4、對采用有限合伙制的產(chǎn)業(yè)子基金的出資比例不低于基金認(rèn)繳規(guī)模的1%且不低于500萬元；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-top: 20px; margin-bottom: 20px;\">【修訂】9、積極吸引中央企業(yè)、產(chǎn)業(yè)龍頭企業(yè)、大型金融機構(gòu)旗下全資、控股且實際控制的管理機構(gòu)參與遴選。中央企業(yè)、產(chǎn)業(yè)龍頭企業(yè)或大型金融機相關(guān)出資主體在本產(chǎn)業(yè)子基金中出資不低于25%的，重點考量可為江蘇省引進的資金和產(chǎn)業(yè)資源，可適當(dāng)放寬上述第2、5條和子基金存續(xù)期限要求（但不得超過產(chǎn)業(yè)專項母基金存續(xù)期限）；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">經(jīng)遴選程序確定為子基金管理機構(gòu)后，子基金管理機構(gòu)不得隨意變更股權(quán)和核心管理團隊、管理人員。若確需進行任何調(diào)整，應(yīng)自調(diào)整決定作出之日起5個工作日內(nèi)，向產(chǎn)業(yè)專項母基金管理機構(gòu)書面報備。若有重大不利調(diào)整，產(chǎn)業(yè)專項母基金管理機構(gòu)有權(quán)利重新遴選或變更管理機構(gòu)。\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">2、配備的專職管理團隊核心成員（委派至產(chǎn)業(yè)子基金的負(fù)責(zé)人及投委會成員）應(yīng)全部具有5年以上股權(quán)投資管理經(jīng)驗，且至少2人在申報機構(gòu)擁有與產(chǎn)業(yè)專項母基金相同性質(zhì)基金產(chǎn)品“募、投、管、退”全流程的管理經(jīng)驗。上述與產(chǎn)業(yè)專項母基金具有相同性質(zhì)的基金產(chǎn)品是指具有相同或相近投向的股權(quán)投資基金；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">3、管理機構(gòu)須保證核心成員的穩(wěn)定性，基金協(xié)議須對基金投資決策委員會委員和管理團隊的核心人員進行鎖定，被鎖定人員如發(fā)生變動須經(jīng)基金合伙人（股東）會議等基金相關(guān)權(quán)力機構(gòu)表決通過；\u003C/p>\u003Cp style=\"font-size: 16px; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（三）盡職調(diào)查。對初選機構(gòu)開展盡職調(diào)查，著重對管理機構(gòu)登記備案、歷史業(yè)務(wù)、組織架構(gòu)、專業(yè)化經(jīng)營、投資決策、投后管理、風(fēng)險控制和財務(wù)、法務(wù)、業(yè)務(wù)等重要信息進行全面核查；\u003C/p>\u003Cp style=\"font-size: 16px; text-indent: 2em; line-height: 2em; margin-top: 20px; margin-bottom: 20px;\">（四）專家評審。組織評審專家組全面審查管理機構(gòu)申報材料，通過聽取盡職調(diào)查匯報、申報機構(gòu)現(xiàn)場問詢等方式，進行綜合性判斷和評分，確定候選管理機構(gòu)名單；\u003C/p>\u003Cp style=\"font-size: 16px; margin-top: 20px; margin-bottom: 20px;\">（六）結(jié)果公示。遴選結(jié)果向社會公示不少于5個工作日。中選管理機構(gòu)應(yīng)在完成遴選決策后（自遴選結(jié)果公示結(jié)束次日起）6個月內(nèi)完成產(chǎn)業(yè)子基金工商注冊，無法按時完成的，需重新開展遴選相關(guān)流程。\u003C/p>\u003Cp style=\"font-size: 16px;
